    Smile Account help needed

    Hi All,


    This is my 1st post.

    I own Ltd company, where I was preparing a/c's and noticed that my business partner had resigned as director.

    I then looked to close the company down, but must file the a.c's where I think tax will be payable. Am I responsible for all of this? And can my business partner resign without me knowing? Surely a signature is needed?


    Can someone advise me further.....this is all so new to me.

    Moved to the accounting forum

    Do you and your business partner have any dialogue going at the moment? Are they a shareholder or just a director? Were they an employee of the company?

    Its all a mess really. No, was not employed. We was both directors with 1 share each. She is not answering calls/emails so at bit of a loss.

    So far, I have spoken with companys house and been told If I need to close the company I am to file a DS01. But, I have a/cs to file ect.....so I cant close it untill thats done.

    well as a director she had a duty of responsibility until the date she resigned. When was that by the way? The company is liable for any tax, so regardless you would have made sure the company has the funds to do that, no matter how many directors.

    It was last week I believe.

    Yes, the company has funds to pay the taxes. But, would she need me to sign paper work to resign?

    Not that I am aware of. When I left my last director post at the Chamber of Commerce I didnt sign anything, they did it for me.

    Is your concern simply that she didnt tell you? Or something else?

    Maybe you will receive a notificaiton from CH about it soon, if it was only last week. You can always go to the CH website and search on there and it may tell you.

    What did you do about the share?
