it should say on the page what you get; cant recall if its bronze or silver you get the company cert.

It says you get it with Bronze Plus, just wondering if it actually is neccesary?

What is the advantage of using a formation service over and above direct registration with companies house: http://www.companieshouse.gov.uk/inf...stration.shtml

I would also suggest that either using a registeriing at CH or using a formation service is fine for convenience, but there are at least a couple of circumstances where you should consider the Memorandum and Articles of Association, including: i) when there is more than one director; ii) when the business is expanding (eg a previous partnership converting to limited company); iii) where there is anything of value either in the IP or on the balance sheet...

I'm know there are many more but my general point is to check out the legal and financial implications of your Memo and Articles as soon as the business starts to acquire some value -and, as Indizine says, don't be shy about paying for the right advice.

Although I generally suggest clients form their own companies (its a piece of cake - why pay your accountant for somethign you can do just as quickly yourself!), do be careful that a limited company is really for you at your stage of business.

It drives me nuts closing down unwanted/unnecessary ltd co's!

I think a lot of people are genuinely surprised by what they have unleashed and don't really understand all the implications so do be careful and take your time to understand it all before you rush over to the formations agents to get that shiny new company set up. I normally have a quite detailed chat with clients wanting to incorporate to go through the structure etc before the event, or i tend to find we have a lot more detailed one going over what they should have done how to get there!

Good advice, I talked it through with my accountant first and we decided it was the best option for me because the company can be VAT registered enabling me to claim back the VAT on all my purchases as I mostly sell food that is zero-rated. It then means I can still do private tuition on a self-employed basis and not charge my clients VAT.

Thats one of those "odd" arrangements you wouldn't guess was possible. For anyone wondering how that all works, if you have two separate business and one is a limited company they are not automatically in the same "VAT group" which means you can have one registered and one not. If they where both sole trades you couldn't do that. NB lots of caveats on this one for people suddenly thinking of dividing their businesses in two artificially - HMRC is way ahead of you!
