Well as far as I know the search engine would index whatever was given priority in your web server configuration, typically this would be the index.html. In that case, the other one wouldn't be seen, but I don't understand why you would want to have both on the same website anyway?

Just to clarify, the 'theory' is to use a well known CMS in teh top level whilst maintaining the landing page outside of this as it is already ranking well and the CMS versatility does not encompass how we have built said page...
I use both HTML and PHP index pages when i am hiding a developing site. I also use htm & html extensions for the same reason
This is why you should NEVER link to a page extension when getting links to your home page, and all your links should have a trailing slash eg domain.com/
