I can't offer you any legal advice I'm afraid but as an SEO consultant, post a link to your website and I'll have a look. What did the contract include - both on & off site SEO or just one or the other.
Clarification of those terms:
Onsite SEO - keywords, title tags, descriptions etc etc in the coding & content
Offsite SEO - link building strategies
I'll try to see if anything interesting has been done.

Mills I would send a nice email to the boss saying that you 'have taken advice' (don't say from where and they may assume a solicitor) and before you will agree to sign a personal agreement you need a detailed report on what work they have carried out and the ftp details in order for a third party expert to assess whether that work has indeed been carried out. Once you have all of that information you will in a position to accept or dispute the costs and will then re-address the issue.
I doubt they will fall for it but if they do send you the ftp details get your site moved bloody quickly. Worth a try though.

Without FTP or Database access (you mentioned a CMS) they have you over a barrel sadly. If you can get those two things sorted then we can help move the site free of charge...

Phil I have all the pages and images .I suppose it could be changed to a static site as its not very big which would be much better from an SEO point of view.
What about the Domain name where does mills get that from.?
OK. The domain in question is a UK domain and is registered to what I can assume is your Limited company so these two facts alone make this a lot easier than it could have been
Here's the steps...
1) Take a look here: http://www.nominet.org.uk/registrant...angeregistrar/ What we need to do is retag the domain with your chosen registrar. If you were moving to us then we would need it changed to ENOM. Changing the tag allows us to import the domain and then you have control over where it points. This is critical as only the registrant can make these changes. The cost is £10 + vat which is peanuts really.
2) Transfer the domain away. Loads of registrars to choose from some charge to transfer in the domain some don't. We don't for example. Transfer is pretty simple but we need step one done first. Once you have control of the domain you can repoint it.
3) Hosting. A billion companies to choose from but find one with a good solid reputation and verifiable testimonials. We host thousands of domains from around the world including the mighty A1 and cost wise it's not much really with plans from £30 per year.
4) Alvin the friendly chipmunk has all your files and images in static form so until you get round to using a new CMS this will get your site up and running.
5) Once you've shifted the domain and your hosting is set-up, send a very polite letter to the SEO company explaining a new and innovative way to store invoices in a dark place
